This AGREEMENT, dated as of January 5, 2001, by and between IPS Advisory, Inc. (the "Advisor"), a corporation organized under the laws of Ohio, on behalf of IPS Funds, a business trust organized under the laws of Ohio (the "Trust"), and FIRSTAR BANK, N.A., a national banking association (the "Custodian").

The Trust has been organized to engage in the business of an investment company. The Trust currently offers three series of shares to investors, one of which is the IPS iFund (the "Fund").
