THIS ASSET PURCHASE AGREEMENT, dated the 8th day of October, 2002, is by and among FITH, INC., a Texas corporation having its principal place of business in Travis County, Texas (hereinafter referred to as "Buyer"); SIGN BUILDERS OF AMERICA, INC. (hereinafter referred to as "Seller”), a Delaware corporation having its principal place of business in Travis County, Texas, wholly owned by Electronic Billboard Technology, Inc., and ELECTRONIC BILLBOARD TECHNOLOGY, INC.
