CONSULTING AGREEMENT This Consulting Agreement (the "Agreement") is entered into this 31st day of October 2001 is by and amongst PHON-NET. COM, INC. (the "Company") and Sloan Young (The "Consultant"). WHEREAS, Consultant has agreed to serve as the Company's vice president of operations; and WHEREAS, the Company desires to retain the Consultant subject to the terms of this Agreement; NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration receipt whereof is hereby acknowledged it is agreed. 1. The Company hereby engages the Consultant and the Consultant hereby accepts this engagement to serve as the Company's vice president of operations. Consultant shall be responsible for managing the various divisions of the Company. Consultant shall be primarily responsible for hiring decisions and overseeing the day to day operations of the Company.
