THIS INSURANCE MATTERS AGREEMENT (the “Agreement”) is made and entered into by and between Illumina, Inc., a Delaware corporation (the “Company”), and the Directors and Officers, as defined below (each, an “Indemnitee,” collectively, the “Indemnitees”).
