Whereas, under the OEM Agreement, Avistar delivered and Lifesize accepted a software product, defined in Exhibit A of the OEM Agreement as the ‘Deliverables’, which the parties refer to internally as “Ampato”; and

This Agreement is made and entered into as of July 31, 2008 (“Effective Date”) by and among Avistar Communications Corporation, a Delaware corporation, with its principal place of business at 1875 S. Grant Street, San Mateo, California 94402, (“Avistar”)and LifeSize Communications, Inc., a Delaware corporation, with its principal place of business at 901 S. Mopac Building 3, Suite 300, Austin, Texas 78746 (“LifeSize”). Avistar Communications Corporation and LifeSize Communications, Inc. are each a “Party” and collectively the “Parties.”

Whereas, Avistar wishes to receive a single, upfront license and maintenance fee payment of $3,400,000.00 for the licenses and maintenance obligations granted under the OEM Agreement in lieu of the License and Maintenance Fees and Minimum Purchase requirements for Years 3, 4 and 5 for up to a total of 22,000 OEM Products sold by LifeSize; and
