THIS AGREEMENT is made and entered into effective as of February 28, 2010 by and between Gardner Lewis Investment Trust, a Massachusetts business trust (the “Trust”), on behalf of each series portfolio of the Trust set forth on Exhibit A attached hereto and incorporated by this reference, (each a “Fund”), and Gardner Lewis Asset Management, L.P., a Pennsylvania limited partnership (the “Adviser”).

(the “Adviser”) and Gardner Lewis Investment Trust (the “Trust”), on behalf its series portfolio, The Chesapeake Growth Fund (the “Fund”).
