This Agreement is made and entered into this ___ day of October, 2010, by and between the CM Advisers Family of Funds, a Delaware statutory trust (the "Trust") on behalf of the CM Advisers Opportunity Fund, a series of shares of the Trust (the "Fund"), and Van Den Berg Management I, Inc. d/b/a CM Fund Advisers, a California corporation (hereinafter referred to as "Adviser").
