This Second Amended and Restated Agreement is made and entered into effective as of April 11, 2011, by and between the CM Advisors Fund (the "Fund"), a series of shares of the CM Advisors Family of Funds, a Delaware statutory trust (the "Trust") and Van Den Berg Management I, Inc. d/b/a CM Fund Advisors, a Texas corporation (the "Advisor").
