THIS AGREEMENT is made effective as of the close of business on June 7, 2012 by and between THE PIEDMONT INVESTMENT TRUST (the “Trust”), a Delaware business trust, and ULTIMUS FUND DISTRIBUTORS, LLC, an Ohio limited liability company (the “Distributor”).
