This Agreement is made and entered into this ___ day of December, 2012, by and between the CM Advisors Family of Funds, a Delaware statutory trust (the "Trust") on behalf of the CM Advisors Micro Cap Value Fund, a series of shares of the Trust (the "Fund"), and Van Den Berg Management I, Inc. d/b/a CM Fund Advisors, a Texas corporation (hereinafter referred to as "Advisor").
