THIS AGREEMENT made as of the 6th day of November, 2000, and amended as of this 13th day of October, 2005 and this 1st day of December, 2012 by and between WILLIAMSBURG INVESTMENT TRUST (the "Trust"), a Massachusetts business trust, and ULTIMUS FUND SOLUTIONS, LLC ("Ultimus"), a limited liability company organized under the laws of the State of Ohio and having its principal place of business at 225 Pictoria Drive, Suite 450, Cincinnati, Ohio 45246.
