This will confirm our agreement as to certain matters that have arisen relating to the License Agreement between Biogen, Inc. (now known as Biogen Idec MA Inc. and hereinafter referred to as "Biogen") and The Medicines Company ("TMC") dated March 21, 1997 (the " License Agreement").

This Consulting Agreement (this “Agreement”), is made by and between THE MEDICINES COMPANY, a Delaware corporation with its principal place of business located at 8 Sylvan Way, Parsippany, New Jersey 07054 (the “Company”) and STRATEGIC IMAGERY, LLC, having an address of 315 South Shore Drive, Sarasota, Florida 34234 (the “Consultant”). The Company and Consultant shall, at times throughout this Agreement, be referred to individually as a “Party” and collectively as the “Parties”.
