THIS INTERCREDITOR AGREEMENT (as amended, supplemented or otherwise modified from time to time, this “Agreement”), dated as of August 15, 2001, is made by and among LENNOX INTERNATIONAL INC. THIS PLEDGE AGREEMENT (the “Agreement”) dated as of August 15, 2001 is by and between LENNOX INTERNATIONAL INC. (“Pledgor”) and THE CHASE MANHATTAN BANK, as collateral agent for itself and certain other creditors (“Secured Party”).
