This offering (the “Offering”) of up to 16,800,000 shares (the “Shares”) of the Company’s common stock, par value $0.001 per share (the “Common Stock”) at an Offering price of $0.25 per Share (the “Per Share Purchase Price”) on a “best efforts” basis is being made pursuant to (a) an effective Registration Statement on Form S-3, File No. 333-139979, filed by the Company with the Securities and Exchange Commission (the “Commission”) including the prospectus contained therein (the “Base Prospectus”) which became effective as of January 26, 2007 (the “Effective Date”), and such amendments and supplements thereto as may have been required to the date of this Agreement, and (b) a prospectus supplement (the “Prospectus”) containing certain supplemental information regarding only the Shares and the terms of the Offering that has been or will be filed with the Commission and delivered to the Purchaser or made available to the Purchaser by the filing by the Company of an electronic version there
