THIS ASSET PURCHASE AGREEMENT (the “Agreement”), dated as of January 8, 2010, is entered into by and between Sciele Pharma, Inc., a Delaware corporation (the “Seller”) and Pernix Therapeutics, Inc., a Louisiana corporation (the “Buyer”).
