THIS EMPLOYMENT AGREEMENT (the “Agreement”) is made as of the 9th day of February, 2005 between MPOWER COMMUNICATIONS CORP., a Nevada corporation (the “Company”), and James Dole (“Executive”). Capitalized terms that are not defined within the text of this Agreement are defined in Section 6 hereof, except as otherwise indicated.
