THIS EXECUTIVE EMPLOYMENT AGREEMENT ("Agreement"), dated as of November 13, 2008, by and between VILLAGEEDOCS, Inc., a Delaware corporation, (the "Company"), and H. JAY HILL (the "Executive") (together, the "Parties"), hereby supersedes all previous employment agreements between the Parties. This Agreement is intended to comply with the requirements of Section 409A of the Internal Revenue Code of 1986, as amended (the "Code"), and shall be interpreted in a manner consistent with that intention.
