THIS AGREEMENT is made and entered into as of this 8th day of September, 2016, by and between HILLMAN CAPITAL MANAGEMENT INVESTMENT TRUST, a Delaware statutory trust, having its principal office and place of business at 116 South Franklin Street, Rocky Mount, North Carolina 27804 (the "Trust") and THE NOTTINGHAM COMPANY, a North Carolina corporation, having its principal office and place of business at 116 South Franklin Street, Rocky Mount, North Carolina 27804 (the "Administrator").

THIS EXPENSE LIMITATION AGREEMENT ("Agreement") is made and entered into effective as this 8th day of September, 2016 by and between HILLMAN CAPITAL MANAGEMENT INVESTMENT TRUST, a Delaware statutory trust (the "Trust"), on behalf of its series, The Hillman Fund (the "Fund(s)"), and HILLMAN CAPITAL MANAGEMENT, INC., a Maryland corporation (the "Advisor").
