Reference is made to that certain Strategic Alliance Agreement, between Grandparents.com, Inc. (the "Company") and Starr Indemnity & Liability Company ("SILC"), dated as of January 8, 2013, as amended by the First Amendment dated as of March 28, 2013 (as amended, the "Agreement").
