The Company will authorize the issue and sale of (i) $55,000,000 aggregate principal amount of its 3.00% Series First Mortgage Bonds due March 15, 2023 (the “Series A Bonds”) and (ii) $45,000,000 aggregate principal amount of its 3.40% Series First Mortgage Bonds due March 15, 2028 (the “Series B Bonds” and, together with the Series A Bonds, the “Bonds”). The Bonds will be issued pursuant to the Thirty-First Supplemental Indenture to be dated on or around March 15, 2013 (the “Thirty-First Supplement”) to the Mortgage and Deed of Trust dated as of February 1, 1945, as heretofore amended and supplemented (the “Indenture”). The Bonds shall be substantially in the forms included in the Recitals to the Thirty-First Supplement and the Thirty-First Supplement shall be substantially in the form of Exhibit 1 hereto.
