This Stock Purchase Agreement (the “Agreement”) is entered into between Innofone.com (the “Purchaser”), and Alex Lightman (the “Seller”) and Innofone.com, Inc. This Investment Agreement (the “Agreement”) is entered into between Innofone.com (the “Investor”) or (the “Company”) , Alex Lightman (the “ Fund Manager”) and Ipv6 Fund Inc , (“ the Fund”) effective as of Monday August 8, 2005 (the “Effective Date”) For purposes of this Agreement, the Investor ,the Fund Manager and the “Fund” shall be referred to individually as a “Party” and all of them shall be referred to collectively as the “Parties”.
