INVESTMENT ADVISORY CONTRACT This Contract is made this 1st day of March, 2005, between Federated Investment Counseling, a Delaware business trust having its principal place of business in Pittsburgh, Pennsylvania (the "Adviser"), and Federated Core Trust II, L.P., a Delaware limited partnership having its principal place of business in Pittsburgh, Pennsylvania (the "Trust"), the General Partner of which is Federated Private Asset Management, Inc., a Delaware corporation (the "General Partner").
