This Utility Money Pool Agreement (the “Agreement”), dated as of ____________, 2004, is made and entered into by and among Black Hills Corporation (“Black Hills”), a South Dakota corporation and a registered holding company under the Public Utility Holding Company Act of 1935, as amended (the “Act”); Black Hills Services Company (“Black Hills Services”), a South Dakota corporation and a non-utility subsidiary of Black Hills (in its role as administrator of the money pool and as a participant in the money pool); and Black Hills Power, Inc. (“Black Hills Power”), a South Dakota corporation and a utility subsidiary of Black Hills (each a “Party” and collectively, the “Parties”).
