CREDIT AGREEMENT, dated as of April 15, 2010 among Black Hills Corporation, a South Dakota corporation (“Borrower”), the financial institutions from time to time party hereto (each a “Bank,” and collectively the “Banks”), THE BANK OF NOVA SCOTIA, in its capacity as co-syndication agent for the Banks (in such capacity, a “Co-Syndication Agent”), UNION BANK, N.A, in its capacity as a Co-Syndication Agent, U.S. BANK NATIONAL ASSOCIATION., in its capacity as a co-documentation agent for the Banks (in such capacity, a “Co-Documentation Agent”), WELLS FARGO BANK, N.A, in its capacity as a Co-Documentation Agent for the Banks, and THE ROYAL BANK OF SCOTLAND PLC, in its capacity as agent for the Banks hereunder (in such capacity, the “Administrative Agent”).
