CREDIT AGREEMENT, dated as of February 1, 2012, among Black Hills Corporation, a South Dakota corporation (“Borrower”), the financial institutions from time to time party hereto (each a “Bank,” and collectively the “Banks”), THE BANK OF NOVA SCOTIA, in its capacity as co-syndication agent for the Banks, UNION BANK, N.A., in its capacity as a co-syndication agent for the Banks, THE ROYAL BANK OF SCOTLAND PLC, in its capacity as a co-syndication agent for the banks (collectively, in such capacities, the “Co-Syndication Agents”), WELLS FARGO BANK, NATIONAL ASSOCIATION, in its capacity as a co-documentation agent for the Banks, ROYAL BANK OF CANADA, in its capacity as a co-documentation agent for the Banks (collectively, in such capacities, the “Co-Documentation Agents”), and U.S. BANK NATIONAL ASSOCIATION, in its capacity as administrative agent for the Banks hereunder (in such capacity, the “Administrative Agent”).
