This CREDIT AGREEMENT (“Agreement”) is entered into as of May 10, 2013, among ATHENAHEALTH, INC., a Delaware corporation (the “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.

This Amended and Restated Master Agreement (this “Agreement”) is entered into effective as of February 1, 2013 (the “Effective Date”), by and between Dell Marketing L.P. (“Dell”), a Texas limited partnership with a principal place of business at One Dell Way, Round Rock, TX 78682, and athenahealth, Inc. (“Athena”), a Delaware corporation with a principal place of business at 311 Arsenal Street, Watertown, MA 02472. Dell and Athena are referred to herein as the “Parties” and each as a “Party.”
