This Agreement and Plan of Reorganization (the “Agreement”) is made as of December 19, 2014, by and between Emerging Leaders Fund (formerly China Emerging Leaders Fund) (the “Acquired Fund”) and Emerging Markets Fund (the Acquiring Fund"), each a separate series of John Hancock Funds II (the “Trust”), a Massachusetts business trust.
