AMENDMENT (the “Amendment”) made this 17th day of December, 2014, to the Advisory Agreement dated January 1, 2014, as amended (“Agreement”), between John Hancock Funds III, a Massachusetts business trust (the “Trust”) and John Hancock Advisers, LLC, a Delaware limited liability company. AGREEMENT made as of the 15th day of July, 2014, between John Hancock Advisers, LLC, a Delaware limited liability company (the "Adviser"), and Wellington Management Company, LLP, a Massachusetts limited liability partnership (the "Subadviser"). In consideration of the mutual covenants contained herein, the parties agree as follows:
