AMENDMENT (the “Amendment”) made this 28th day of March, 2016, to the Advisory Agreement dated January 1, 2014, as amended, between John Hancock Funds II, a Massachusetts business trust (the “Trust”) and John Hancock Advisers, LLC, a Delaware limited liability company (“JHA” or the “Adviser”). In consideration of the mutual covenants contained herein, the parties agree as follows:

The undersigned, being a majority of the Trustees of John Hancock Funds II (the “Trust”), acting pursuant to Section 8.3 of the Amended and Restated Agreement and Declaration of Trust of the Trust dated January 22, 2016 (the “Declaration of Trust”) hereby amend and restate Section 8.4 of the Declaration of Trust as follows:

AMENDMENT made as of this 10th day of March, 2016 to the Subadvisory Agreement dated January 1, 2014, (the “Amendment”), between John Hancock Advisers, LLC, a Delaware limited liability company (the “Adviser”), and John Hancock Asset Management a division of Manulife Asset Management (North America) Limited , a Canadian corporation (the “Subadviser”).
