THIS AGREEMENT, made and entered into as of this [___] day of [_____] 1998 by and among Massachusetts Mutual Life Insurance Company (hereinafter, the “Company”), a Massachusetts insurance company, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each account hereinafter referred to as the “Account” or “accounts,” as applicable), and the undersigned fund, a corporation organized under the laws of Maryland (each hereinafter referred to as the “Fund”) and T. Rowe Price Investment Services, Inc. (hereinafter the “Underwriter”), a Maryland corporation.

This Amendment dated and effective this 21 day of March, 2013, amends the Participation Agreement among T. Rowe Price Equity Series, Inc., T. Rowe Price Fixed Income Series, Inc. (“Fund”), T. Rowe Price Investment Services, Inc. (“Underwriter”) and Massachusetts Mutual Life Insurance Company, (“Company”) dated June 1, 1998, as amended, (“Agreement”). All capitalized terms used herein and not otherwise defined shall have the meanings ascribed to such terms in the Agreement.

Massachusetts Mutual Life Insurance Company (the “Company”), T. Rowe Price Equity Series, Inc., T. Rowe Price Fixed Income Series, Inc., T. Rowe Price International Series, Inc. (each, a “Fund”), and T. Rowe Price Investment Services, Inc., (the “Underwriter”), a Maryland corporation, entered into a certain Participation Agreement dated June 1, 1998 (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of April 7, 2021, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Underwriter (collectively, the “Parties”).
