This will confirm that in consideration of your consent to the acquisition of substantially all of the assets of Twenty Dollar Emissions, Inc. ("Seller") by Speedemissions, Inc., a Georgia corporation (the ACompany" ), pursuant to the Asset Purchase Agreement of even date herewith (the APurchase Agreement" ) between the Company and Seller and as an inducement to you to consummate the transactions contemplated by the Purchase Agreement, the Company covenants and agrees with each of you as follows:

This ASSET PURCHASE AGREEMENT (the "Agreement") is, dated as of January 30, 2003, by and between SPEEDEMISSIONS, INC. , a Florida corporation ("Purchaser") and TWENTY DOLLAR EMISSION, INC. , a Georgia corporation (the "Seller"), and KENNETH CAMERON , an individual resident of the State of Georgia (Mr. Cameron being referred to as the "Shareholder "). Seller and the Shareholder are collectively referred to as the "Seller Parties."
