This ASSET PURCHASE AGREEMENT (the "Agreement") is made and entered into as of 12:01 a.m. on June __ 2004 (the "Effective Time"), by and between SPEEDEMISSIONS, INC. a Florida corporation maintaining an address at 1139 Senoia Road, Suite B, Tyrone, Georgia 30269 (the "Purchaser"),and BB&S EMISSIONS, LLC, a limited liability company organized and existing under the laws of the State of Georgia, maintaining business offices at 325 West Cobb Parkway, Marietta, Georgia 30064 ("Seller") and BRUCE R. KINMONTH and BARBARA A. KINMONTH (the "Members") (hereinafter the Seller and the Members are sometimes referred to, individually as a "Seller Party" and collectively as the "Seller Parties").

THIS BILL OF SALE AND ASSIGNMENT is made by BB&S EMISSIONS, LLC, a Georgia limited liability company ("Seller"), to SPEEDEMISSIONS, INC., a Florida corporation, ("Purchaser"), this __ day of June, 2004.
