THIS AGREEMENT FOR SHARE EXCHANGE (this "Agreement") is dated as of March 29, 2004, by and among DRACO HOLDING CORP., a Nevada corporation ("DRACO"), HONG XIANG PETROLEUM INTERNATIONAL HOLDINGS LIMITED, a British Virgin Islands corporation ("HONG XIANG"), and the Shareholders of HONG XIANG listed in Exhibit A who execute this Agreement ( collectively the "SHAREHOLDERS").
