THIS AGREEMENT FOR SHARE EXCHANGE (this “Agreement”) is dated as of July 15, 2004, by and among HUAYANG INTERNATIONAL HOLDINGS, INC., a Nevada corporation (“HUAYANG”), CHINA CARBON BLACK HOLDING COMPANY LIMITED, a Hong Kong corporation (“CHINA CARBON BLACK”), and the Shareholders of CHINA CARBON BLACK who execute this Agreement (collectively the “SHAREHOLDERS”).
