THIS AGREEMENT FOR SHARE EXCHANGE (this “Agreement”) is dated as of January 14, 2005, by and among CHINA ENERGY & CARBON BLACK HOLDINGS INC., a Nevada corporation (the "Purchasers", “CHEY” or the “Company”), South Xinjiang Power Holdings Limited, a Hong Kong corporation (“SOUTH XINJIANG” or the “Acquiree”), and the Shareholders of SOUTH XINJIANG who execute this Agreement (collectively the “SHAREHOLDER”).
