THIS AGREEMENT FOR SHARE EXCHANGE (this “Agreement”) is dated as of July 29, 2005, by and among CHINA ENERGY AND CARBON BLACK HOLDINGS, INC., a Nevada corporation (“CHEY”), XIN JIANG YAKELA CARBON BLACK LIMITED, a Chinese corporation and a wholly-owned subsidiary of CHEY (“YaKeLa”), XIN JIANG ZHE PU NATURAL GAS POWER COMPANY LIMITED, a Chinese corporation (“Zhe Pu Power” or the “Acquiree”), and the Shareholders of Zhe Pu Power who execute this Agreement (collectively the “SHAREHOLDERS”).
