THIS AGREEMENT is made and entered into this 23rdday of August, 2005, to be effective as of December 31, 2004 (the “Effective Date”), by and between Mid-Am Systems, Inc., a Delaware corporation, (“Mid-Am”), Connelly Investments Limited, a British Virgin Islands corporation (“Connelly”) and Song Bohai, Hu Weiming, Wang Jingsong and Fairwood Capital Inc. (collectively referred to as the “Shareholders”).
