THIS AGREEMENT FOR SHARE EXCHANGE (this “Agreement”) is dated as of December 1, 2006, by and among TABATHA V, INC., a Colorado corporation (“TBVI”), Impact Grammar Institute Inc., a British Virgin Islands corporation (“Impact Grammar”), and the Shareholders of Impact Grammar who execute this Agreement (collectively the “Shareholders”).
