THIS AGREEMENT AND PLAN OF MERGER, dated as of July 11, 2016, is by and between Zendex Holdings, Inc., a Nevada corporation ("Parent"), and Kingsmen Capital Group Ltd., a Nevada corporation and a direct wholly-owned subsidiary of Parent (Parent and Kingsmen Capital Group Ltd. are hereinafter collectively referred to as the "Constituent Corporations").
