The undersigned has received and read the Confidential Private Placement Memorandum dated April 14, 2006 (“Memorandum”), pursuant to which Tsevni Real Estate Group, Inc., a Nevada corporation (“Company”), is offering for sale Units (“Offered Units”) at $0.10 per Offered Unit, each Unit consisting of (i) one (1) share of the Company’s $.001 par value common stock, and (ii) one warrant to purchase a share of the Company’s common stock at $0.15 per share. The terms used and not defined in this Subscription Agreement have the meanings specified for such terms in the Memorandum.
