THIS AMENDING AGREEMENT to the Amended and Restated Declaration of Trust of Fording Canadian Coal Trust (the “Trust”) dated August 24, 2005, as amended by a supplemental declaration amendment dated August 24, 2005 (the “Declaration of Trust”), is made as of this 2nd day of May, 2006.
