This Agreement is entered into as of November 14, 2023 (this “Agreement” (including the exhibits hereto), by and among City of London Investment Management Company Limited (“CLIM”), Templeton Dragon Fund, Inc. (the “Fund”) and Templeton Asset Management Ltd. (the “Adviser,” together with CLIM and the Fund, the “Parties” and individually a “Party”).
