THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made as of ________________, by and among Procera Networks, Inc., a Nevada corporation (the “Company”), and the undersigned holders of common stock of the Company together with their qualifying transferees (the “Holders”).
