THIS AMENDMENT NO. 2 to the SECOND AMENDED AND RESTATED CREDIT AGREEMENT (the "Amendment") is dated November 16, 2006, by and among PETROQUEST ENERGY, L.L.C., a Louisiana limited liability company ("Borrower"); JPMORGAN CHASE BANK, N.A. (individually as a lender and as agent, "Agent"); each of the Guarantors set forth on the signature pages hereto and the financial institutions set forth on the signature pages hereto, ("Lenders").
