THIS PURCHASE AGREEMENT (“Agreement”) is made and entered into as of this 10th day of March, 2008 between NATURE VISION, INC., a Minnesota corporation (“Seller”), and NATZEL, LLC, a Minnesota limited liability company, its successors and assigns (“Purchaser”). For purposes of this Agreement, the term “Effective Date” shall mean March 11, 2008.
