This Employment and Confidentiality Agreement (the “Agreement”) is made and entered into as of September 5, 2008 (the “Effective Date”) by and between Community West Bank, a Nationally Chartered Bank and wholly owned subsidiary of Community West Bancshares (the “Bank”), Community West Bancshares, a California corporation (“Parent”) and Richard M. Favor (“Executive”) and supersedes the contract dated September 6, 2007 between the same parties.
