THIS AGREEMENT, dated as of the 5th day of August, 2009, between HERSHA HOSPITALITY TRUST, a Maryland real estate investment trust (the “Company”) and _______________ (“Participant”), is made pursuant to the terms of the Company’s 2008 Equity Incentive Plan (the “Plan”).
