This PURCHASE CONTRACT (this “Contract”) is made and entered into as of February 1, 2010, by and between M&R HOTEL LLC, a New York limited liability company, as to an undivided ninety percent (90%) interest and LINCOLN AVENUE CENTER, LLC, a New York limited liability company, as to an undivided ten percent (10%) interest, as tenants-in-common, each having its principal office at 420 Great Neck Road, Great Neck, New York (both together, the “Seller”), and HHLP DUO THREE ASSOCIATES, LLC a Delaware limited liability company, with its principal office at 44 Hersha Drive, Harrisburg, Pennsylvania 17102 (“Buyer”).
