This Supplemental Executive Retirement Agreement (this "Agreement") is made and entered into effective as of February 18, 2009 (the "Effective Date"), by and between Jesus Ernesto Diaz, an individual (the "Executive"), and Carolina First Bank, a South Carolina corporation headquartered in Greenville, South Carolina (the "Company") and a wholly owned subsidiary of The South Financial Group, Inc.
