This Amended and Restated Employment Agreement (the “Agreement”), entered into and effective as of July 28, 2010 (the “Effective Date”), is by and between Orthofix Inc., a Minnesota corporation (the “Company”), and Robert S. Vaters, an individual (the “Executive”).
